• Warehousing Solutions: Secure storage facilities, inventory management, cross-docking, and distribution services
• Factoring Services: Quick payment processing, credit checks, and accounts receivable management
• Fuel Card Programs: Discounted fuel rates, expense tracking, and reporting tools

Service availability may vary by location and business requirements. We reserve the right to:

• Modify or discontinue any service without prior notice
• Limit service availability based on geographic location or other criteria
• Refuse service to anyone for any reason not prohibited by law

3. User Obligations

As a user of our services, you agree to:

• Information Accuracy: Provide and maintain accurate, current, and complete information about yourself and your business
• Account Security: Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized access
• Compliance: Follow all applicable local, state, and federal regulations, including DOT requirements and safety standards
• Documentation: Maintain proper documentation, licenses, and insurance as required by law
• Communication: Respond promptly to service-related communications and maintain professional conduct

Failure to meet these obligations may result in service suspension or termination.

4. Payment Terms

Our payment terms are structured to provide clear and fair financial arrangements:

• Service Fees: Rates are established based on service type, volume, and specific requirements
• Payment Schedule:
  • Dispatch services: Weekly billing with net-15 terms
  • Warehousing: Monthly billing with net-30 terms
  • Factoring: Fees deducted at time of funding
  • Fuel cards: Weekly billing with automatic payment processing
• Late Payments: Overdue accounts may incur:
  • 1.5% monthly interest charge
  • Service suspension until payment is received
  • Additional collection fees if applicable

All fees are non-refundable unless otherwise specified in a separate service agreement.

5. Intellectual Property

All content and materials available on our website and through our services are protected by intellectual property rights:

• Trademarks, logos, and brand features are our exclusive property
• Software, technology, and processes are protected by copyright and trade secret laws
• Documentation, guides, and marketing materials may not be reproduced without permission

Limited license is granted to use our services as intended, but no ownership rights are transferred.

6. Limitation of Liability

Our liability is limited in the following ways:

• Service Interruptions: We are not liable for any business losses due to service unavailability or technical issues

• Consequential Damages: We are not liable for indirect, special, or consequential damages
• Maximum Liability: Our total liability is limited to the amount paid for the specific service in question during the previous 12 months

This limitation of liability does not apply to damages caused by willful misconduct or gross negligence.

7. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

• Your violation of these terms or applicable laws
• Misuse of our services
• Breach of any representations or warranties
• Disputes with other users or third parties

This includes covering reasonable legal fees and costs incurred in defending against such claims.

8. Termination

Service termination may occur under the following circumstances:

  • Non-payment of fees
  • Fraudulent or illegal activities
  • Extended period of inactivity
• By You:
  • Written notice as specified in your service agreement
  • Completion of all outstanding obligations
  • Payment of any remaining balances

Upon termination, you must cease using our services and destroy any confidential information in your possession.

9. Governing Law

These terms are governed by Michigan law:

• Any disputes will be resolved in the courts of Michigan
• You consent to personal jurisdiction in Michigan courts
• The prevailing party in any legal action is entitled to recover reasonable attorney fees

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

10. Changes to Terms

We may update these terms periodically:

• Notice of material changes will be posted on our website
• Changes become effective 30 days after posting
• Continued use of services constitutes acceptance of updated terms
